Terms of Business

1. About these terms

1.1 These terms apply to every order you place with SHOPBOXD Collective Limited, a company registered in England and Wales (company number 08682557), whose registered office is at 5th Floor, 167–169 Great Portland Street, London W1W 5PF ("SHOPBOXD", "we", "us"). "You" means the business placing the order.

1.2 We work with businesses only. These terms are for business customers and do not apply to consumers.

1.3 If you have signed a Corporate Gifting Agreement with us, that agreement applies instead of these terms.

1.4 A proposal, mockup, shopping list or quotation (a "Proposal") is not an offer to sell. Proposals are valid for 5 business days from the date sent. After that, prices and availability may change.

1.5 An order is placed when you confirm a Proposal in writing. Email is enough. Your order is then made up of the confirmed Proposal and these terms.

1.6 Any other terms you seek to apply, including terms on a purchase order, do not form part of the contract.

1.7 In these terms, a "Gift" is each gift in your order, including its contents, packaging and any card. A "Recipient" is each person who is to receive a Gift. "In writing" includes email. A "business day" is a day other than a Saturday, Sunday or bank holiday in England.

2. Proposals, price and payment

2.1 Each Proposal includes two rounds of revisions. Further changes are covered by our project fee, which is payable before we continue and is deducted from your final invoice.

2.2 Mockups and images show how a Gift is intended to look. Colours, finishes, print and packaging may vary slightly, and handmade or natural products vary from piece to piece.

2.3 Prices are as set out in your confirmed Proposal and include our project fee. Delivery is shown separately and invoiced with your Gifts. For international deliveries, it includes the courier's estimate of import duties and taxes.

2.4 All prices exclude VAT, which will be added at the applicable rate.

2.5 You must pay each invoice in full before we order stock or start work. Dispatch dates depend on payment clearing on time.

2.6 Payments must be made in full, without any set-off, deduction or counterclaim. If you pay late, we may suspend work and dispatch until payment clears, and may charge interest under the Late Payment of Commercial Debts (Interest) Act 1998.

2.7 Once paid, the price for the agreed number and specification of Gifts is fixed. Changes you ask for afterwards may change the price.

3. Your responsibilities and our products

3.1 By the deadlines we agree, you must give us complete and accurate Recipient details in our spreadsheet template, including a mobile number and email address for each Recipient, which couriers need to deliver. You must also send any logos, artwork or inserts in a print-ready format, and tell us the dietary requirements of any Recipients who need a different Gift.

3.2 You must check and approve proofs in writing. We are not responsible for errors in a proof you have approved.

3.3 If a deadline is missed or information is incomplete or wrong, we may move the dispatch date and charge for any extra work, reprinting or redelivery this causes. Gifts returned or lost because of incorrect Recipient details will be resent at your cost.

3.4 If a product becomes unavailable, is discontinued or will arrive too late, we may replace it with one of similar value, quality and style. We will tell you before making a substitution wherever we reasonably can.

3.5 Branded, printed and personalised items are made to your specification and cannot be returned or refunded unless faulty.

3.6 Food and drink carry the ingredient and allergen information provided by their manufacturers, which we will supply on request. You are responsible for approving the contents of each Gift, collecting Recipients' dietary needs and telling Recipients that their Gift contains food or drink. We do not make food and cannot guarantee that any product is free from traces of allergens.

3.7 We dispatch food and drink with a reasonable shelf life. We are not responsible for products passing their best-before date because of delays you cause, or while we store them at your request.

3.8 Where a Gift contains alcohol, you confirm that every Recipient is aged 18 or over. We may remove or replace alcohol where the destination country's law or the courier's rules do not allow it to be delivered.

4. Delivery, ownership and risk

4.1 We will dispatch your Gifts on the agreed dispatch date, provided you have paid and met the deadlines in clause 3.1.

4.2 Delivery dates are estimates. Once Gifts are with the courier, transit times are outside our control and are not guaranteed.

4.3 We pay import duties and taxes through the courier on a duties-paid basis, using the estimate invoiced with your Gifts. The final amount is set by the destination country after the Gifts arrive. Any charges above the estimate are invoiced to you at cost once the courier bills us, payable within 14 days.

4.4 We are not responsible for delays caused by customs checks, import restrictions or the courier. Some products cannot be sent to some countries or by air, for example alcohol to private addresses in certain countries, or anything with a spark or firework element. We will advise on this and suggest alternatives.

4.5 If delivery fails because a Recipient is absent or refuses the Gift, or because Recipient details are wrong, you will pay for redelivery or return. Address changes requested after labels have been created are charged at our current admin rate.

4.6 Where Gifts are delivered in bulk to one address, you must check the delivery and report any shortage or damage in writing within 3 business days.

4.7 If a Gift is lost or damaged in transit, please tell us in writing within 5 business days of the expected delivery date, with photos of any damage. We will claim from the courier and will, at our choice, replace the Gift or refund its price (excluding delivery).

4.8 Ownership of the Gifts passes to you once we have received payment in full. Risk passes to you when the Gifts are delivered to the Recipient or the delivery address.

5. Changes, cancellation and storage

5.1 You may ask to change an order in writing. A change is binding only once we have both agreed it in writing, including any change to the price or dispatch date. Extra Gifts depend on stock availability and are charged at our current prices.

5.2 You may cancel an order in writing. If we have not yet ordered stock, we will refund the amount paid less the project fee. Once stock has been ordered or production has started, you must pay for all stock ordered, all branded or personalised items, any supplier cancellation charges and the project fee. We will refund anything paid above this. Reducing the number of Gifts after stock has been ordered counts as a part-cancellation.

5.3 "Spare Stock" means complete Gifts you have paid for that have not yet been dispatched. We store Spare Stock free of charge for 12 months from the date it arrives at our studio. After that, storage costs £25 a month, invoiced monthly in advance.

5.4 Spare Stock is held at your risk, and we take reasonable care of it. We will tell you when food or drink in storage is approaching its best-before date. Replacements are at your cost.

5.5 Later dispatches of Spare Stock are charged at our current fulfilment, admin and delivery rates.

5.6 If storage charges are unpaid for 30 days, we will ask you for an address to send the Spare Stock to, at your cost. If you do not provide one within 14 days, we may keep, donate or dispose of it, and you will have no claim for it.

6. Branding, data and confidentiality

6.1 You own your logos, artwork and other materials, and give us permission to use them to produce, pack and deliver your Gifts. You confirm you have the right to use them, and you will indemnify us against any claim that our use of them infringes anyone's rights.

6.2 Proposals, concepts and mockups belong to us. They are shared for your own use and must not be passed to another supplier to source or produce the same Gift.

6.3 We may photograph Gifts and use the photos in our marketing unless you ask us not to in writing. We will not name you publicly without your permission.

6.4 You are the controller, and we are the processor, of the Recipient details you send us. You confirm you have a lawful basis to share them with us and have given Recipients any information data protection law requires.

6.5 We will:

•      use Recipient details only to deliver your Gifts, on your documented instructions, unless the law requires otherwise;

•      make sure anyone who handles them is bound by confidentiality;

•      keep them in password-protected spreadsheets, shared only with the people working on your order, and shred spare or spoilt printed labels;

•      share them only with our couriers (DHL Express and Royal Mail) and Google Workspace, which stores our spreadsheets, and tell you before adding anyone new so you can object on reasonable grounds;

•      where Gifts go outside the UK, share them with couriers and customs authorities only as needed for delivery;

•      help you respond to Recipients exercising their rights, and with your other duties under data protection law;

•      tell you without undue delay after becoming aware of a personal data breach;

•      delete them within 90 days of the final dispatch, unless you ask us to keep them for later dispatches or the law requires us to keep them; and

•      give you the information you reasonably need to show compliance, and allow audits on reasonable notice.

6.6 Please share only the dietary requirement itself (for example "vegan"), never the reason for it.

6.7 We each keep confidential any information about the other's business received through an order, including pricing and Proposals, and use it only for that order. This does not apply to information that is public, already known to us, or must be disclosed by law.

7. Liability and general

7.1 Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.

7.2 We are not liable for loss of profit, revenue, business, goodwill or anticipated savings, or for any indirect or consequential loss.

7.3 We are not liable for loss caused by inaccurate Recipient details or materials you supply, by Gift contents you approved, by customs or couriers, or by events outside our control.

7.4 Our total liability for each order is limited to the price you paid for it, excluding VAT and delivery. Any claim must be made in writing, with reasonable details, within 3 months of the dispatch date.

7.5 Neither of us is liable for delay or failure caused by events beyond our reasonable control, including courier disruption, strikes, severe weather, supplier failure, customs action, changes in law, pandemics and fire. This does not excuse late payment. If such an event delays an order by more than 30 days, either of us may cancel it, and we will refund amounts paid for Gifts not yet dispatched, less costs already incurred.

7.6 We may use subcontractors, couriers and freelance staff to fulfil your order and remain responsible for them. You may not transfer your rights or obligations without our written consent.

7.7 No one other than you and us, including any Recipient, has any right to enforce these terms under the Contracts (Rights of Third Parties) Act 1999. A delay in exercising a right is not a waiver of it. If any part of these terms is found to be unenforceable, the rest remains in force.

7.8 We may update these terms from time to time. The version in force when you confirm an order applies to that order.

7.9 These terms and any dispute arising from them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
